Terms of service
The published offer, in writing.
Month-to-month, cancel anytime, the specs on the Pricing page, and an accuracy guarantee that is about process, not results. These terms say the same thing the site does.
Effective June 1, 2026 · Questions: Info@Ciphercut.com
Who this is between
These terms apply to anyone using ciphercut.com or the CipherCut client portal, and to the retainer and Launch Sprint services described on the Pricing and Services pages. Signing a proposal, paying an invoice, or using the portal means you accept them. If a signed agreement between us says something different, the signed agreement wins.
The services and what is included
What you receive is exactly what the Pricing page lists for your tier (Foundation, Growth, Pipeline, or Scale) and, if purchased, the Launch Sprint components (Conversion Website Build, Product Demo Video, LinkedIn Foundation). Monthly deliverable counts, LinkedIn cadence, and revision limits are the published specs as of the date you sign. Scale is scoped individually and confirmed in writing.
- Deliverable counts by tier. Foundation: 8 Visibility Clips per month, 1 Flagship Video per quarter, 1 Sales Asset per month, company LinkedIn at 5 posts per week. Growth: 12 Visibility Clips per month, 1 Flagship Video per month, a Sales-Enablement Library of 5 assets built in month one with one refresh per month, company LinkedIn at 7 posts per week. Pipeline: 16 Visibility Clips per month, 2 Flagship Videos per month, a full Sales-Enablement Library organized by deal stage with two refreshes per month, company LinkedIn at 10 posts per week. A monthly content calendar is included on every tier.
- Timelines: delivery dates for each deliverable are scoped with you at onboarding, documented in the client portal, and held. We do not publish blanket delivery windows, because accurate technical content requires understanding your product first. LinkedIn cadence begins the week agreed at onboarding; the content calendar and strategy documents run on a monthly cycle, delivered in the first week.
- Revisions: two asynchronous rounds per clip, Flagship Video, or Sales Asset, requested through the portal; the counter is visible on each deliverable. Strategy documents receive one structured feedback round per monthly cycle. Launch Sprint components carry the revision cap agreed at kickoff.
- Not included, at any tier: filming or on-site production, paid-ads management, PR or analyst relations, and any lead or ROI guarantee.
Billing and cancellation
- Retainers are month-to-month at the published price for your tier, billed monthly. Launch Sprint components are one-time fees, billed at kickoff. Scale is quoted and invoiced individually.
- Invoices are issued through Stripe and are payable within 7 days by bank transfer (ACH) or card on Stripe's hosted page. We never take payment details directly. If a card surcharge applies to a card-only invoice, it appears as its own line before you pay.
- A failed payment does not stop work immediately; we tell you, you retry or change the method in the billing portal, and we sort it out together. Accounts that stay unpaid past the cycle may be paused.
- Cancel anytime by emailing Info@Ciphercut.com. Cancellation takes effect at the end of the current billing cycle; work already in progress for that cycle is delivered, and no further cycles are billed.
- Hosting and minor updates for a Conversion Website Build are included while a retainer is active. When the retainer ends we will hand over the site files on request; continued hosting after that is quoted separately.
- Published prices can change for new engagements. Your price changes only with 30 days written notice, and you may cancel before it takes effect.
What you provide
You supply footage, product documentation, brand assets, and timely input when we ask for it. You warrant that you own or have the rights to everything you submit, including the right to have it edited and published, and that it does not infringe anyone else's rights or breach any confidentiality obligation. If a third party claims otherwise, you will handle and cover that claim.
Ownership
- Finished deliverables belong to you once the invoice covering them is paid. Until then we retain ownership and you have a license to review.
- We keep ownership of our working methods, templates, and project files that are not the finished deliverable.
- We will only name you, show your work, or describe the engagement publicly with your written approval. The only sample work on our site is the clearly labeled RelayOps demonstration, which is a fictional client we built ourselves.
The accuracy guarantee, stated precisely
Every deliverable goes through the Accuracy Pass: a terminology check against your own documentation and standard usage, a claim check against what the source footage and docs actually support, and a rule that anything ambiguous comes back to you as a question rather than a guess. Sales Assets and outbound deliverables additionally go through the Deal-Ready Check. This is a guarantee about our process. If we miss something the process should have caught, we fix it at no charge.
It is not a guarantee of results. We do not promise leads, pipeline, revenue, follower counts, impressions, rankings, or any other business outcome, and nothing on the site should be read that way.
Confidentiality
Footage, documents, strategy, pricing, and anything else you share with us that is not public is confidential. We use it only to deliver the work, share it only with the people doing the work, and protect it with at least reasonable care. This continues after the engagement ends. Likewise, our proposals and internal materials are confidential to you.
The client portal
- Access is by invitation. Keep your credentials private, use a password of at least ten characters, and tell us at once if you think your account has been compromised so we can revoke its sessions.
- Footage is shared by link from your own storage; video files never touch our servers, and link records are purged after 31 days. You are responsible for the access settings on links you share.
- Do not attempt to access another client's workspace or probe the service. We may suspend accounts that do.
Limitation of liability
To the fullest extent the law allows, our total liability to you for anything arising out of these terms or the services is capped at the fees you paid us in the twelve months before the claim. We are not liable for indirect, consequential, or lost-profit damages. Nothing here limits liability that cannot be limited under Florida law.
Governing law and venue
These terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Palm Beach County, Florida, and both of us consent to that venue.
Changes
If we change these terms the effective date above changes, and active clients are notified by email before material changes apply to them. Continued use after the effective date means you accept the new terms.
